Vice President, Compliance
As Vice President (VP) of Compliance, this position has management responsibility for all compliance matters related to the operation of Fidelity Charitable. This position works across Fidelity compliance communities as well as Fidelity Charitable second line leaders to address policies and changes associated with new innovations, and to implement solutions to mitigate risks in a rapidly changing environment driven by service, regulatory, process and program changes.
The Expertise WeLooking For
- J.D. strongly desired, MBA possible; typically 8-10 years of industry-related experience (legal, risk, audit, compliance) in either a nonprofit or financial services organization, including experience designing and managing compliance or risk program in a complex regulatory environment
- Significant tax, charitable and/or estate planning experience preferred
- Investment background/experience a plus
The Purpose of Your Role
This position serves as an Officer for Fidelity Charitable and is responsible for ensuring ongoing compliance with all applicable federal and state regulatory authorities and identifying and adhering to best practices for the operation of a public charity and its programs. As an Officer of Fidelity Charitable, this position is also responsible for overseeing, finalizing, and/or preparing the minutes of Board of Trustees meetings and keeping all official statutory and other legal documents and books and records of the organization.
Finally, as a member of the Fidelity Charitable Operating Plan Committee, Business Acceptance Committee, and Asset Review Committee, this position participates with other key business leaders in supporting strategic business objectives, important decision making, and annual operating plans for Fidelity Charitable.

The Value You Deliver
- Leading the monitoring and reporting on external regulatory and legislative actions, and legal issues, internal audits, proposing strategies to address regulatory/legislative issues in collaboration with Fidelity business partners, and leading implementation of required regulatory changes
- Providing leadership, direction and management for the governance of the public charity, including administration for the Board of Trustees, coordinating of Board meetings and materials, and the development and implementation of all Board policies. As the VP of Compliance for the service provider, this position prepares and presents certain reports for various committees of the Board of Trustees at a minimum of three times a year on issues of significance to Fidelity Charitable
- Managing all required federal and state tax information filings for Fidelity Charitable, including information returns for various charitable entities, tax returns for the pooled income fund, state solicitation filing requirements, and other tax-related filings such as K-1s and unrelated business income tax returns
- Overseeing the review of all marketing materials, communications, press releases and other collateral for Fidelity Charitable to ensure that it meets Fidelity Investmentsd charitable organizationsles, regulations, and best practices
- Serving as internal legal resource on all business issues, responsible for drafting and reviewing investment advisor contracts, sponsorship agreements and other like contracts, and determines when to escalate to and/or consult with legal counsel on complex legal/compliance matters
- Assessing new complex business development opportunities, identifing potential compliance and risk issues, reviewing and analyzing third party investment advisory contracts, programs, and investments relating to donor-advised funds, evaluating and proposing customized solutions for existing and new donors, and drafting customized agreements when necessary
Overseeing special services for high net worth donors, including letter of intents with other charities and direct international grants, and collaborating with Program Management and Investment Teams on impact investments for high net worth donors, and performing due diligence on proposed impact investments
Managing a full-time team of 3 employees, with a full time staff that includes highly capable attorneys with technical knowledge and skills
