In the role of Vice President and Senior Counsel, the candidate will provide legal advice and counsel to State Street Global Marketsreign exchange sales and trading business, which is a dynamic and growing over-the-counter trading business, including principal foreign exchange dealer services, agency foreign exchange services, currency management, StreetFX benchmark trading, and algorithmic trading. In addition to supporting the trading documentation requirements of State StreetFTC-regulated swap dealer and related businesses, the position would also include advising on Basel netting, collateral enforceability and other bank regulatory matters related to swap dealer activities as well as on corporate level projects and initiatives, as well as providing guidance and supervision to a team of transaction documentation specialists. In particular, primary responsibilities for the position would include:
- Performing reviews and impact analyses of complex supporting documentation, including ISDA protocols, netting and collateral enforceability opinions;
- Advising the business team on the legal implications of regulations applicable to the bankver-the-counter trading businesses, including Dodd Frank, the Volcker Act, ERISA, FATCA and Basel III issues.
- Drafting, reviewing, negotiating and advising on a broad range of legal arrangements with customers of State Street Global MarketsTC-regulated swap dealer and related businesses, including coordinating with multiple internal and external stakeholders.
- Managing projects and contract negotiations to ensure accurate and timely completion of initiatives and execution of documents within a framework of tight deadlines.
- Liaising and coordinating with Risk, Compliance, Operations and Trading teams to resolve any pertinent issues.
- Instructing and managing external counsel.
QUALIFICATIONS - Juris Doctorate from an accredited law school. Licensed to practice in Massachusetts or other state of the United States.
- 5-7 years of relevant experience. Strong preference for in-house experience in a bank, fund, or corporate legal department combined with major law firm experience.
- Strong knowledge of ISDA documentation, definitions and protocols, as well as Basel netting and other bank regulatory requirements.
- Excellent legal drafting, planning, organizational and analytical ability.
