Job Description SUMMARY:
Reporting to the Vice President, Enterprise Strategy, the Senior Director of M&A Strategy will own the process of converting Tyson's enterprise and portfolio strategies into a proactive M&A and strategic partnerships strategy, with the expectation that a robust M&A agenda will be pivotal in leading the Company to the next phase of its transformation into a truly global leader of innovative food experiences and a leading CPG. This leader will translate the multi-year enterprise strategy and portfolio strategies into a proactive agenda of potential divestitures and high potential acquisition targets to gain market position in targeted categories/subcategories & geographies, gain access to privileged relationships, or quickly acquire strategically critical capabilities/channels. Lead the Sourcing, Initial Screening, and Business Case Development phases of the M&A process, leading to recommendations to proceed to Due Diligence; lead response to opportunistic deals brought by bankers and brokers. Build standardized best in class financial models, tools for the assessment of cultural and strategic fit, and tools for assessment of management talent to deploy in the evaluation of any target. Collaborate with Finance, BU and functional leadership to support Due Diligence phase and ensure appropriate Go/No Go decision making with appropriate approval thresholds. Support deal execution and negotiating strategies as required. Support and sometimes lead target integration planning and execution and collaborate with Corporate Affairs to ensure appropriate internal and external communications associated with deals. Devise methods for anticipating competitive responses to M&A moves, building them into financial models and constructing mitigation and scenario plans to enable swift responses, minimizing risk. Provide appropriate reporting on strategy, pipeline, and deal performance to the SVP Strategy& New Ventures, VP Enterprise Strategy, Senior Leadership Team, & Board as required. Collaborate with BUs, R&D, & Innovation to define standard approach to 'make/buy' decisions as part of all Growth Platform work, feeding 'buy' decisions into the M&A strategy and pipeline as required. With Finance, shape relationships with banking community to drive high quality deal sourcing, innovative M&A strategies, and supplemental analytics in assessing opportunities. With Finance, continuously assess M&A pipeline for implications upon balance sheet and financial flexibility; explore alternative partnership arrangements to manage limitations, if needed. Continuously improve M&A processes. Assiduously manage confidentiality of all M&A activities, suggesting process improvements as needed.
REQUIREMENTS: Master's degree in Business Administration.
Eight years of experience with Mergers and Acquisitions within a multi-national consumer sector organization or within a blue chip investment banking firm.
