Job Summary Responsible for the administration, review, negotiation and management of the company's contracts associated with the purchase of goods and services from suppliers based in worldwide locations. This position leads the best practices in
supplier contracts review and management for the global Supply Chain organization, resulting in consistent procedures and practices to mitigate risks and costs in supplier contracts.
Principal Duties and Responsibilities - Review and negotiate supplier contracts and related documents for provisions, contractual obligations, contractual work requirements, legal term sufficiency and compliance with company policies prior to execution.
- Select and apply the appropriate contract instrument/form for various procurement needs and strategies arising out of the company's global operations.
- Represent the company in the negotiation and administration of contracts with suppliers in connection with the company's procurement of varying goods and services.
- Draft and negotiate supplier contract amendments and modifications as needed, ensuring compliance with the company's Legal and Supply Chain policies and procedures.
- Support and maintain a globally consistent approach to supplier contracts management and review procedures.
- Work effectively with global Supply Chain, Legal, Risk Management, Operations, Human Resources and Asset Management, Engineering and other internal functional groups to address the following aspects of supplier contracts: review and
approval of contractual language, negotiation of contract terms, mitigation of contractual exposure and risk, and to obtaining the best possible value for the company.
- Provide guidance and leadership to the regional office functional departments regarding contracting policies and procedures, contractual language, provisions and requirements.
- Ensure that supplier contracts are properly executed by authorized company and supplier signatories and that all related documentation is current and received from each supplier in compliance with all contractual requirements.
- Ensure tracking of status and maintenance of supplier insurance certificates in compliance with the insurance provisions and requirements of the applicable supplier agreement.
- Facilitate global compliance with the Supply Chain contracts management procedures, sourcing and bidding policies and procedures and other supplier management objectives and procedures as well as compliance with the terms and
conditions of existing supplier contracts.
- Maintain accurate tracking of status for existing and pending supplier contracts and related documents. Serve as company resource concerning specific awareness of supplier contractual obligations, terms, ongoing contract negotiations,
questions, issues, and problem-solving.
- Maintain current technical knowledge of relevant contractual terms, standard contract forms, procedures and best practices for the company and industry.
- Maximize the use of information systems and technology for tracking, analysis, reporting, administration and communication of contract information.
- Conduct supplier agreement assessments and audits as necessary in accordance with company and Supply Chain policies and procedures.
- Perform additional duties as assigned and participate in special projects as required.
Technical knowledge: - Minimum of five (5) years' progressive work experience in contracts management, contracts negotiation or equivalent work experience required
- Minimum of five (5) years' oil/gas industry experience preferred, including technical knowledge of oilfield equipment and services
- Minimum of five (5) years' experience in contract negotiation of legal and business terms and conditions of services, sales and purchase agreements for a global business
Education/Certifications - Bachelor's degree from accredited college or university in Business, Law, or related discipline
- CCCM (Certified Commercial Contracts Manager); CPCM (Certified Professional Contracts Manager); or CPM (Certified Purchasing Manager) Certification strongly preferred
