Summary: Commercial transactions staff attorney providing a variety of general business and commercial transactional legal services for a business segment. Acts as advisor on legal issues relating to the protection of intellectual property and marketing of the organization’s products and services. Coordinate legal matters handled by outside counsel relating to the business segment this role services. Counsels business segment and executive management on legal risks impacting the business segment and the transactions pertinent to the business segment. Develops and negotiates documents for: the license, resale and distribution of company’s products and services, suppliers and strategic alliances pertinent to the business segment. Provides legal expertise to management on policies and programs that relate to compliance with laws and regulations applicable to the business segment. Identifies legal and operational risks and advises business on options and consequences.
Responsibilities: - Develops and negotiates agreements and other transactional documents for all types of business transactions, including license, service, distribution, OEM, resale agreements and confidentiality agreements.
- Advises staff on legal risks with respect to operational business decisions.
- Assists in the establishment and roll-out of company-wide policies affecting the business segment.
- Perform other duties as assigned.
- Understand and Adhere to all Corporate Policies to include but not limited to ACI Code of Ethics and Global Information Security.
Qualifications Requirements: - A Degree in Law
- A qualified lawyer license to practice law in Singapore, Hong Kong or Australia
- Minimum 5 years of commercial transactions experience in Legal functions in a law firm or a corporate environment.
- Experience in commercial contracting in the technology industry, preferably with significant experience and emphasis on financial technology and Software as a Service (SaaS) contracting at an enterprise level.
